1. ACCEPTANCE OF TERMS

By accessing and using the Rural Tourism Partners website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

Rural Tourism Partners ("we," "us," "our," or "Company") is operated by Rural Tourism Partners LLC. These Terms of Service apply to all visitors and users of our website and all services offered herein.

2. DESCRIPTION OF SERVICES

Rural Tourism Partners provides consulting services to rural communities and organizations, including but not limited to:

  • Community planning workshops and facilitation resulting in tourism action plans

  • Strategic marketing planning and oversight for rural tourism destinations

  • Visitor experiences development in culinary, arts, cultural heritage, wayfinding

  • Contracted "fractional Chief Marketing Officer" advisory services

  • Grant development, writing, and management assistance

  • Informational content, case studies, and educational materials

Our services are advisory and strategic in nature. We provide professional expertise, recommendations, and assistance but do not execute services on your behalf unless specifically contracted. You are responsible for implementation of recommendations and decisions regarding your community's tourism strategy.

3. CLIENT RESPONSIBILITIES

As a client or workshop participant, you agree to:

  • Participate in good faith in planning workshops and strategic sessions

  • Provide timely, accurate information and access to community stakeholders

  • Make independent decisions regarding strategy implementation

  • Maintain decision-making authority within your organization

  • Provide necessary assets, content, and materials for marketing and grant work

4. NO GUARANTEE OF RESULTS

Rural Tourism Partners provides expert consulting services but does not guarantee specific outcomes, including:

  • Grant funding approval or funding amounts

  • Project completion or implementation success

  • Visitor attraction or tourism revenue targets

  • Community acceptance of recommendations

We provide our professional services, recommendations, and strategic guidance to the best of our ability. Outcomes depend on many factors beyond our control, including community implementation, third-party grant decisions, market conditions, and political factors. You acknowledge that success in tourism development requires effort and commitment from your entire community.

5. INTELLECTUAL PROPERTY

Ownership of a work product is determined by your specific service agreement. In the absence of a written agreement specifying otherwise:

  • Action plans, strategies, and recommendations developed during our engagement are conducted under a fee-for-service contract between Rural Tourism Partners and your organization

  • You retain ownership of your community's materials, photos, videos, and original content

  • Rural Tourism Partners retains the right to reference and showcase successful work in case studies, website portfolio, speaking engagements, and marketing materials (with your written permission)

  • Frameworks, methodologies, and proprietary Rural Tourism Partners tools remain our intellectual property

You agree not to use our proprietary materials, frameworks, or strategies for purposes outside your specific engagement without written permission.

6. CONFIDENTIALITY

Rural Tourism Partners respects your community's confidential information. We agree to:

  • Not disclose sensitive community information, financial data, or proprietary strategies to third parties without your permission

  • Use confidential information solely for purposes of the engagement

  • Obtain written permission before featuring your community in case studies, website materials, speaking engagements, or media

Exceptions: Information that is publicly available, independently developed, or legally required to be disclosed is not considered confidential. We may disclose publicly that your community is a client with your permission.

7. PAYMENT TERMS

Payment terms are specified in your individual service agreement or proposal. Standard terms include:

  • Most projects will require  50% down payment prior to start of contract

  • Subsequent invoices are due within 30 days of receipt

  • For multi-phase projects, payment may be due upon completion of each phase

  • Late payment may incur a 1.5% monthly interest charge

  • If the client or Rural Tourism Partners cancels a facilitated workshop project 30 days in advance, deposit will be returned. If less than 30 days, a percentage will be retained; percentage terms will be included in the contract. If a client terminates mid-project after the 50% down payment has been paid, down payment will not be returned

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • Rural Tourism Partners' total liability for any claim arising from these services shall not exceed the total fees paid by client in the preceding 12 months

  • We are not liable for indirect, incidental, consequential, special, or punitive damages

  • We are not responsible for third-party actions, including grant funder decisions, vendor performance, or community political dynamics

  • We are not liable for economic losses, lost revenue, or lost business opportunities

This limitation applies even if we have been advised of the possibility of such damages.

9. INDEMNIFICATION

You agree to indemnify and hold harmless Rural Tourism Partners, its owners, employees, and representatives from any claims, damages, or costs (including attorney fees) arising from:

  • Your implementation of our recommendations or strategies

  • Your violation of these Terms of Service

  • Claims that materials or content you provided infringe third-party rights

10. TERMINATION

Either party may terminate an engagement with written notice as specified in the service agreement. Upon termination:

  • All outstanding invoices remain due and payable

  • We will deliver completed work and transition materials upon final payment

  • Confidentiality and intellectual property provisions survive termination

  • Either party may terminate with 30 days' written notice, except for material breach (which allows immediate termination). Upon termination, completed deliverables will be provided upon final payment; work in progress may be invoiced at prorated rates.

11. DISPUTE RESOLUTION

Any disputes arising from these Terms of Service shall be governed by the laws of the State of Oregon, without regard to its conflict of law principles. Both parties agree to attempt good-faith negotiation and mediation before pursuing litigation. Any legal action shall be brought exclusively in the state or federal courts located in Oregon, and both parties consent to the jurisdiction and venue of such courts.

12. WEBSITE DISCLAIMER

This website and all content, including case studies, testimonials, and recommendations, are provided "as is." Rural Tourism Partners makes no warranties, express or implied, regarding the website's functionality, availability, or fitness for any particular purpose. We are not responsible for:

  • Interruptions, delays, or errors in website access

  • Lost, damaged, or corrupted data

  • Viruses or malicious code

13. MODIFICATIONS TO TERMS
